Please read these Terms of Use carefully before accessing or using any part of the Sparknewlife platform available at sparknewlife.space. By accessing or using the platform, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the platform.
1. Definitions
Throughout these Terms, the following definitions apply:
- Platform refers to the Sparknewlife website, web application, and all associated services accessible at sparknewlife.space.
- Company refers to Sparknewlife, the entity operating and maintaining the Platform.
- User refers to any individual who accesses, browses, registers on, or otherwise interacts with the Platform.
- Account refers to the registered profile created by a User to access personalised features and course content.
- Content refers to all text, video, audio, graphics, code samples, assessments, and other materials made available through the Platform.
- Subscription refers to any paid or free access plan that grants a User access to specific Content or features for a defined period.
2. Eligibility
The Platform is intended for individuals who are at least 16 years of age. If you are under the age of 18, you confirm that you have obtained consent from a parent or legal guardian before using the Platform. By creating an Account, you represent that all information you provide is accurate, current, and complete.
The Company reserves the right to refuse access to any User at its sole discretion, including where eligibility requirements are not met.
3. Account Registration and Security
3.1 Creating an Account
To access certain features of the Platform, you must register for an Account. You agree to provide truthful and accurate information during registration and to keep your account details up to date at all times.
3.2 Account Responsibility
You are solely responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your Account. You must notify the Company immediately at support@sparknewlife.space if you suspect any unauthorised access to or use of your Account.
3.3 One Account Per User
Each User may hold only one Account. Creating multiple Accounts to circumvent restrictions, access free trials repeatedly, or obtain any other advantage is strictly prohibited.
4. Use of the Platform
4.1 Permitted Use
You may access and use the Platform solely for lawful, personal, and non-commercial educational purposes, unless a separate written agreement with the Company expressly permits otherwise.
4.2 Prohibited Conduct
You must not, under any circumstances:
- Copy, reproduce, distribute, or publicly display any Content without prior written authorisation from the Company.
- Use automated tools, bots, scrapers, or crawlers to access, extract, or index any part of the Platform.
- Attempt to gain unauthorised access to any system, server, or database connected to the Platform.
- Upload, post, or transmit any material that is unlawful, harmful, defamatory, obscene, or otherwise objectionable.
- Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
- Interfere with or disrupt the integrity or performance of the Platform or its infrastructure.
- Resell, sublicense, or otherwise commercialise access to the Platform or its Content without express written permission.
- Circumvent, disable, or otherwise interfere with any security or access control features of the Platform.
5. Intellectual Property
5.1 Ownership
All Content, trademarks, logos, software, and other materials on the Platform are the exclusive property of the Company or its licensors and are protected by applicable intellectual property laws. Nothing in these Terms transfers any ownership rights to you.
5.2 Limited Licence
Subject to your compliance with these Terms, the Company grants you a limited, non-exclusive, non-transferable, revocable licence to access and view the Content solely for your personal educational use. This licence does not permit you to download, store, reproduce, or distribute Content beyond what is expressly enabled by the Platform's standard functionality.
5.3 User Submissions
If you submit any content to the Platform, including forum posts, comments, or project work, you grant the Company a worldwide, royalty-free, perpetual licence to use, display, and adapt such submissions for the purpose of operating and improving the Platform. You represent that you hold all necessary rights to any content you submit.
6. Payments and Subscriptions
6.1 Pricing
Fees for paid Subscriptions are displayed on the Platform and are quoted in Australian dollars unless otherwise stated. All prices are inclusive of applicable taxes where required by law. The Company reserves the right to modify pricing at any time, with changes taking effect at the start of the next billing cycle.
6.2 Billing
By purchasing a Subscription, you authorise the Company to charge your nominated payment method on a recurring basis according to the selected billing period. It is your responsibility to ensure that valid payment details are maintained on your Account.
6.3 Refunds
Refund eligibility is determined in accordance with the Company's Refund Policy, which is incorporated into these Terms by reference. Where no separate policy applies, refunds are assessed on a case-by-case basis at the Company's discretion.
6.4 Cancellation
You may cancel your Subscription at any time through your Account settings. Cancellation takes effect at the end of the current billing period. No partial refunds are issued for unused portions of a billing period unless required by applicable law.
7. Third-Party Services and Links
The Platform may contain links to third-party websites, tools, or services. These are provided for convenience only. The Company does not endorse, control, or accept responsibility for any third-party content, products, or services. Your use of third-party services is governed solely by the terms and policies of those third parties.
8. Privacy
Your use of the Platform is also governed by the Company's Privacy Policy, which describes how personal data is collected, used, and protected. By using the Platform, you acknowledge and agree to the practices described in the Privacy Policy.
9. Disclaimers
The Platform and all Content are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied. The Company does not warrant that the Platform will be uninterrupted, error-free, or free from harmful components. Educational Content is provided for informational purposes only and does not constitute professional advice of any kind.
The Company makes no guarantee that completion of any course or programme will result in employment, certification recognised by any external body, or any specific learning outcome.
10. Limitation of Liability
To the fullest extent permitted by applicable law, the Company and its officers, directors, employees, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of, or inability to use, the Platform or its Content.
In no event shall the Company's total aggregate liability to you exceed the total amount paid by you to the Company in the twelve months immediately preceding the event giving rise to the claim.
11. Indemnification
You agree to indemnify, defend, and hold harmless the Company and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or related to your use of the Platform, your violation of these Terms, or your infringement of any third-party rights.
12. Termination
The Company reserves the right to suspend or terminate your Account and access to the Platform at any time, with or without notice, if you breach these Terms or engage in conduct that the Company determines, in its sole discretion, to be harmful to the Platform, other Users, or the Company.
You may terminate your Account at any time by contacting support at support@sparknewlife.space. Upon termination, your right to access the Platform ceases immediately. Provisions of these Terms that by their nature should survive termination will continue to apply.
13. Modifications to the Terms
The Company may update these Terms at any time. When changes are made, the revised Terms will be published on this page with an updated date. Continued use of the Platform after changes are published constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must discontinue use of the Platform.
14. Governing Law
These Terms are governed by and construed in accordance with applicable law. Any disputes arising in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of competent authority in the location of the Company's registered office.
